1, Definitions
1.1 “Trodomains” means Trodomains (Trading name of TROL LTD).
1.2 “Client” means any person who purchases Services and /or Products from Trodomains (Trading name of TROL LTD).
1.3 “Proposal” means the written proposal for the Products and/or Services.
1.4 “Project” means the work specified in the Proposal once it has been accepted by the Client
1.5 “Initial Stage” means the stage where the Project has been completed but Client review is required to check for errors
1.6 “Fee” means the total sum due by the Client for the Products and /or Services agreed in the Proposal
1.7 “Terms and Conditions” means the Terms and Conditions as set out in this document and any subsequent Terms and Conditions agreed in writing between Trodomains (Trading name of TROL LTD) and the Client.
1.8 “Agreement” means these Terms and Conditions read in conjunction with the Proposal.
1.9 “Services” means any consultancy or other services (for example SEO, website hosting and emailing) which Trodomains (Trading name of TROL LTD) is to provide to the Client in accordance with these conditions.
1.10 “Intellectual Property Rights” means any patent, trademark, service mark, registered design, copyright, design right, right to extract or exploit information from a database, database rights, knowhow, confidential information or process, any application for any of the above, and any other intellectual property right recognised in any part of the world whether presently existing or applied for.
1.11 “Products” means the website, artwork, designs, or other products (including any instalment of any products) which Trodomains (Trading name of TROL LTD) is to create and /or supply to the client in accordance with these conditions.
1.12 “Deposit” means the payment of (33%) or (50%) of the Fee, or any other percentage which may be specifically agreed and set out in the Proposal.
1.13 “Rolling Monthly Contract” means a 12-month agreement to provide Services. This contract will automatically roll into a new 12-month agreement unless written notice is given to Trodomains (Trading name of TROL LTD) by the Client by 4pm on the last working day of the 11th month.
1.14. Terms

9, Force Majeure
Neither party shall be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and the party shall be entitled to a reasonable extension of its obligations.
10, Search Marketing (SEO) - Search Engine Optimisation
10a, Search engine optimisation (SEO) is the process of improving the volume or quality of traffic to a website from search engines via “natural” (“organic” or “algorithmic”).
10b. ‘SEO’ (search engine optimisation) is the process of increasing the rank of a client’s website on the search engines. The Purpose of our (SEO) - Search Engine Optimisation is to drive traffic to your website. thereby getting more potential customers visiting the website.
10c, Administrative charges for the management of Google AdWords, Facebook and Search engine optimisation are non-refundable.
10d, The Client agrees that Trodomains (Trading name of TROL LTD) is unable to guarantee that the Client’s website will achieve a favourable position, or any position, within a particular search engine and as such, shall not be liable for failure to achieve a particular position. Trodomains (Trading name of TROL LTD) does not make any guarantees based on traffic/rankings/reports etc. and will not be held responsible for any refund claims thereof.
10e, Keyword result report and selections; white hat link building; local SEO link building; unique and SEO optimized content marketing; social signals submissions; image sharing and submission; infographics submission; video submission; and audio submission. These services are listed solely for the purpose of illustration and possible examples of SEO services which we may provide but is not obliged to provide.
You further acknowledge and agree we exercise of its discretion in achieving results for in what it deems to be an efficient and effective manner. The illustrated SEO strategies referred to herein are further listed by way of example only as Trodomains (Trading name of TROL LTD) may change its strategies in the future based upon competition, future Google algorithm changes, or other reasons that Trodomains (Trading name of TROL LTD) may deem advisable.
10f, The Client agrees that Trodomains (Trading name of TROL LTD) shall not be liable for any website URLs dropped or excluded by the search engine for any reason.
10g, SEO - Search Engine Optimisation, can be a one-off service or monthly service.
10h, The Client agrees that Trodomains (Trading name of TROL LTD) do not guarantee that search engine optimisation reports will be sent monthly but will ensure it is sent once in 4- 6 months, however customer can request for this report any time. Report will be relied on a Third-Party software.
11a, Work or Project:
You (‘The Client’) and Us (TROL LTD, and hereinafter referred to as ‘Trodomains’)
The Project - A work that is being undertaken, normally consisting of several connected parts, such as consultation, graphic design, website design and development or hosting, depending on both parties agree to?
Our web hosting websites are eweball.com and trodomains.co.uk. Customers who have consented to host their websites on https://eweball.com or https://www.trodomains.co.uk are legally bound by our hosting terms and conditions and privacy policy, which are outlined on the relevant websites: https://eweball.com/ and https://www.trodomains.co.uk/.
WordPress Websites: We strive to use up-to-date plugins when developing all WordPress websites. Some plugins have free updates, while others require a fee. To continue receiving updates from the premium plugin's developer or company, you must sign up with the plugin company and pay the necessary fees or subscription. While we make every effort to provide you with high-quality plugins, we are not responsible for either the free or premium plugins, or future updates because these are third-party plugins.
Note: If you do not sign up for the Premium plugins to receive the most recent updates, the standard free plugins are not known to have any adverse effects on your website.
If a project is agreed upon and 80% of the project has been completed, additional structural update requests will incur an hourly rate of £75.

11b, The Client agrees to:
1. Provide, within a reasonable timeframe, any information and materials requested to complete the Project, including text, photos.
2. Review and provide feedback in a timely manner, as well as signoff approval.
3. Make every endeavour to adhere to any timeframes agreed upon or individually agreed upon.
4. Inform both parties in advance of any confidential information that will be sent by email, any other written format, or verbally. Also, this should be clearly marked as 'confidential' in the subject of the email or on any written documents.
5. Provide a minimum of one months’ notice in writing, or by email should you wish to cancel any contract.
6. If a website project exceeds one month owing to client delays, an additional hourly rate of £75 per hour will be applied.
7, If a project is abandoned for two months or more while the website is hosted on our server, a monthly charge of £10 will commence after two months.
8. Client must adhere to the originally agreed design, feature/s, or reference website for website design project; if client deviates from the originally agreed design / reference website, no refund of any deposit payment, in part or in full, will be made in the event of cancellation.
9, In accordance with the terms of any service subscription, clients are required to pay the subscription either monthly or annually. A cancellation requires four weeks' notice. In the absence of a four-week notice period, any previously rendered services will incur a charge of £79.99 per hour.
Ecommerce websiites: When it comes to an ecommerce website. Customers are responsible for uploading and managing their products as well as other product variables on all of our ecommerce websites. (Product variables include sizes, colours, and anything else associated with the product).
Trodomains agrees to:
1, Make every effort to meet any deadlines agreed upon between us.
2, Make a reasonable number of design, layout, and colour revisions until you are satisfied with the design concept or until both parties believe an agreement is likely to be reached, but no more than three revisions.
3, Significant changes. Additional revisions or design work that extends beyond the scope of the initial agreed-upon project will be charged separately.
Website Launch
After your website has gone live, we no longer offer structural or content revisions.
Prior to proposing a website launch, it is the customer's responsibility to ensure complete satisfaction with the project. In certain instances, we may provide assistance at our discretion.
We are no longer responsible for your website six months after it went live.
12, Refund and Cancellation:
(This applies to all services, including but not limited to website design and development, application development, and mobile application development)
12.1, As a courtesy to the client, payments for web design projects are made in increments. Once a payment or deposit is made, it is non-refundable once the project, in its entirety or in part, is completed. If a project is cancelled or delayed, Trodomains retains all monies paid and, in certain circumstances, the Client is responsible for work completed in excess of the amount already paid.
12.2, Customers must make full payment within 60 days of the completion of the website project. If a customer is unable to pay, we will gladly consider future payment arrangements. However, if we do not hear from the client within 60 days and the consumer owes any unpaid balance. We reserve the right to refer the unpaid balance to debt collectors or to suspend client's website until payment is received.
12.3, Overdue Accounts: In general, we reserve the right to refer the unpaid balance to debt collectors or to suspend client's website without prior notice until payment is received, or a payment plan is agreed upon with the client.
12.4, If Trodomains completes the project in accordance with the client's initial instructions, the client is responsible for the entire cost of the project, which includes but is not limited to all amounts due as agreed.
12.5, If Trodomains does not hear from the customer within 30 days of the agreed-upon project's start date, despite making all reasonable measures to reach the client, the client's pending project will be cancelled without a refund.
12.6, The customer has the right to inspect the quality of their website, and once the client has granted consent for the website to go live and we have transferred the website to the client's external server, client's payment is non-refundable.
12.6, Charges / Fees,
1. The fees for the Services are outlined in the project quotation that the Client receives through email from Trodomains (Trading name of TROL LTD).
2. The validity of quotations is thirty days.
3. Trodomains (Trading name of TROL LTD) retains the right to modify a quotation or reject to offer the applicable Services following the expiration of 30 days.
Unless agreed otherwise with the Client, all website design services require an advance payment of a minimum of (33%) or (50%) of the project quotation total or any agreed amount before the work commences. balance is required after the client review and design sign off, prior to upload to the server or release of materials.
The Client agrees to reimburse Trodomains (Trading name of TROL LTD) for any additional expenses necessary for the completion of the work. Expenses may include (but are not limited to) purchase of domain names, special fonts, and stock photography.
12.7, Fully Paid and Unclaimed Website Projects within 6 months: If your website project remains unclaimed for a period of one month or more, we may back up your website files to ensure its safety; however, if you return to claim your website within six months, there will be a fee to recover your website; if you return after six months, we cannot guarantee that your website will be recovered.
12.8, if your website project remains unclaimed for more than one month, we may back up your website files to ensure its safety; however, if you return to claim your website within six months, there will be a fee to recover your website; if you return after six months, we cannot guarantee that your website / files will be recovered.
12.9A, Our Web Hosting services are provided on a 12-month contract basis. Once an Annual Hosting Service or related services have been performed, renewed, and activated, they are non-refundable (if not yet performed, renewed and activated, you will be eligible for a refund within 48hours of the date of the transaction and at the sole discretion of Trodomains).
We will send you renewal notices 30 and 7 days before to the expiration date of your domain name registration and web hosting services, respectively. These notifications will be delivered to the email address associated with your account. If you receive these renewal messages and do not respond to indicate that you do not consent to the auto-renewal, we will assume that you consent to the auto-renewal and it will occur on the renewal date. You will no longer be eligible for a refund if you request one, as you are currently under contract and your web hosting or domain services have been renewed and activated. However, as a gesture of goodwill and in consideration of the circumstances, we may impose a 45% tech and administrative fee, and reimburse the remaining balance.
12.9B Logo & Graphic Designs:
These fees include the time spent on design and studio work, as well as any accompanying administration. Individual design elements like as letterhead, comps slips, and so on are available for purchase separately (additional fees applies)
After implementation and the initial review, the deposit paid for logo design is non-refundable.
Any paid graphic work that we produce for a client remains the client's property in its entirety, including all rights and ownership.
13, Intellectual property rights
This Agreement does not transfer to you any intellectual property owned by Trodomains ( Trading name of TROL LTD ) or third-parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with Trodomains ( Trading name of TROL LTD ) All trademarks, service marks, graphics and logos used in connection with our Website or Services, are trademarks or registered trademarks of Trodomains ( Trading name of TROL LTD ) – Trading of Name TROL LTD licensors. Other trademarks, service marks, graphics and logos used in connection with our website or Services may be the trademarks of other third parties. Your use of our Website and Services grants you no right or license to reproduce or otherwise use any Trodomains (Trading name of TROL LTD) or third-party trademarks.
14, Disclaimer of warranty

17, Dispute resolution
The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of United Kingdom without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of United Kingdom. The exclusive jurisdiction and venue for actions related to the subject matter here of shall be the courts located in United Kingdom, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
18a, Acceptance of these terms
You acknowledge that you have read this Agreement and agree to all its terms and conditions. By using the Website or its Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to use or access the Website and its Services.
19b, Complaints
